Recently we had a client that wanted to purchase the upgrade version of Quickbooks.  The client did in fact own a legal copy of Quickbooks 2002, and wanted to purchase the upgrade to 2004.  Technically they could, however they did not intend to replace the 2002 version, but setup a whole new company.  At the same time continue to use 2002 for another company.  This would violate the terms of an "upgrade" se we told the client to buy the full version, which they did.
